Terms of Use

1. Introduction

These Terms of Use govern your download, installation, access to, and use of the Zorest Cradle mobile application and related services (“Cradle” or the “App”).

By downloading, installing, accessing, or using Cradle, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not use the App.

2. About Us

Cradle is operated by Zorest Technologies LLC, a company registered in Dubai, United Arab Emirates (“we”, “us”, or “our”).

We own and operate Cradle and its related services.

3. Changes to These Terms

We may update these Terms of Use from time to time.

When we make changes, we may notify you through the App, our website, or by updating the “Last updated” date above.

Your continued use of Cradle after revised Terms become effective constitutes your acceptance of the updated Terms, except where applicable law requires additional notice or consent.

4. Eligibility

You must be at least 18 years old to create an account and use Cradle independently.

Cradle is intended for parents, legal guardians, and caregivers using the App to track and manage information relating to babies or children in their care.

By using Cradle, you confirm that you have the authority to provide and manage information relating to any child profile you create or access.

5. International Use

Cradle is operated from the United Arab Emirates and may be made available in multiple countries.

You are responsible for ensuring that your use of Cradle complies with the laws and regulations applicable in your country or region.

You must not use Cradle where access to or use of the App would be unlawful.

6. Requirements for Use

You are responsible for obtaining and maintaining the equipment and services required to use Cradle, including:

A compatible device
Internet access
Mobile data, where applicable
Supported operating-system versions
Any required third-party platform accounts

Charges from your internet, mobile, or device provider are your responsibility.

7. Acceptable Use

You agree to use Cradle only for lawful purposes and in accordance with these Terms.

You must not:

Use Cradle unlawfully or fraudulently
Attempt to gain unauthorized access to Cradle or its systems
Interfere with, damage, disable, or disrupt the App
Upload malicious software, viruses, or harmful code
Attempt to bypass security or access controls
Use automated systems to scrape, extract, index, or harvest information from Cradle
Use Cradle or its content to train or develop competing artificial-intelligence or machine-learning systems without our written permission
Impersonate another person
Submit information you do not have the right to provide
Use Cradle in a way that infringes the rights of another person
Use Cradle for abusive, harmful, deceptive, or unauthorized purposes

We may restrict or suspend access where we reasonably believe these Terms have been violated.

8. Licence and Restrictions

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use Cradle on supported devices for your personal use.

You may not, except where applicable law expressly permits:

Copy or reproduce the App
Modify or create derivative works
Reverse engineer or decompile the App
Distribute or commercially exploit Cradle
Resell or sublicense access
Frame or mirror the App
Circumvent technical restrictions
Use Cradle for competitive analysis intended to reproduce the App or its features

All rights not expressly granted to you remain reserved.

9. User Content

Cradle may allow you to submit information, notes, text, images, or other content (“User Content”).

Personal data is handled separately in accordance with our Privacy Policy.

For other User Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, and display that content only as reasonably necessary to:

Operate Cradle
Provide features requested by you
Synchronize content between devices and caregivers
Maintain and improve the service
Provide customer support
Comply with legal obligations

You confirm that you have the right to provide any User Content you submit.

We may remove content that we reasonably believe violates applicable law, these Terms, or the rights of another person.

10. Baby-Care and Health Disclaimer

Cradle provides tools for tracking baby-related activities, routines, sleep, feeding, diapers, medication, and other care information.

Cradle may also provide sleep predictions, patterns, reminders, insights, educational content, or recommendations.

Cradle is not a medical device and does not provide medical advice, diagnosis, or treatment.

Information provided by Cradle is intended for general informational and organizational purposes only.

You should not use Cradle as a substitute for advice from a qualified healthcare professional.

If you are concerned about your baby’s health, sleep, feeding, medication, development, breathing, temperature, or wellbeing, you should seek appropriate professional medical advice.

In an emergency, contact your local emergency services immediately.

11. Sleep Predictions and AI Features

Cradle may use algorithms, artificial intelligence, machine learning, or statistical models to provide features such as:

Sleep-window predictions
Personalized sleep insights
Pattern identification
Recommendations
AI-generated responses
Parenting or baby-care information

These features rely on information available to Cradle and may sometimes be incomplete, inaccurate, outdated, or unsuitable for your specific circumstances.

Predictions are estimates and do not guarantee that a baby will sleep, wake, feed, or behave at a particular time.

You remain responsible for decisions relating to your baby’s care.

12. Medication Tracking

Cradle may allow you to record medications or medication-related events.

This functionality is provided solely as an organizational and tracking tool.

Cradle does not prescribe medication, determine medication suitability, calculate medical treatment plans, or replace instructions provided by a doctor, pharmacist, or other qualified healthcare professional.

Always follow professional medical advice and the instructions supplied with any medication.

Cradle may allow you to share a baby profile with partners, family members, or other caregivers.

When you invite another person, they may be able to view or add information relating to the shared baby profile.

You are responsible for:

Inviting only people you trust
Ensuring you have permission to share the relevant information
Managing access to shared baby profiles
Removing access when it is no longer appropriate

We are not responsible for actions taken by another caregiver whom you authorized to access a shared profile.

14. Availability and Updates

We aim to keep Cradle available and reliable, but we do not guarantee uninterrupted, error-free, or continuous access.

The App may occasionally be unavailable because of:

Maintenance
Updates
Technical issues
Network failures
Third-party service interruptions
Security incidents
Circumstances outside our reasonable control

We may update, modify, add, or remove features from Cradle from time to time.

Where supported by your device or platform settings, App updates may be installed automatically.

15. Account Security

You are responsible for maintaining the confidentiality and security of your account.

You must take reasonable steps to prevent unauthorized access to your account or devices.

You should contact us promptly if you believe your account has been compromised.

We may temporarily restrict or suspend an account where we reasonably suspect:

Unauthorized access
Fraud
Abuse
Security threats
Breaches of these Terms

16. Platform Operators

If you download Cradle through the Apple App Store, Google Play, or another distribution platform, these Terms are between you and us, not the platform operator.

The platform operator is not responsible for providing or maintaining Cradle except to the extent required under its own applicable terms.

Your use of Cradle may also be subject to the terms and conditions of the relevant platform.

17. Data Protection

We process personal information in accordance with our Privacy Policy and applicable data-protection laws.

By using Cradle, you acknowledge that certain information must be processed to provide the services you request.

18. Third-Party Services

Cradle may rely on or contain links to third-party services.

These may include services related to:

Authentication
Cloud hosting
Analytics
Artificial intelligence
Subscription management
Customer support
App-store services

Third-party services may be governed by their own terms and privacy policies.

We are not responsible for third-party services that we do not control.

19. Intellectual Property

Cradle and all related intellectual-property rights belong to us or our licensors.

This includes, where applicable:

Software
Source code
Designs
User interfaces
Graphics
Logos
Trademarks
Text
Illustrations
Algorithms
Sleep-prediction systems
Databases
Audio
Content
Branding

Nothing in these Terms transfers ownership of those rights to you.

20. No Warranty

To the maximum extent permitted by applicable law, Cradle is provided on an “as is” and “as available” basis.

We do not guarantee that:

Cradle will always be available
Cradle will be error-free
Predictions will always be accurate
All information will be complete or current
The App will meet every individual user’s requirements
Every feature will remain available permanently

Nothing in these Terms excludes warranties that cannot legally be excluded under applicable consumer law.

21. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of Cradle.

This includes, where legally permitted, loss resulting from:

Reliance on sleep predictions
Incorrect or incomplete user-entered information
Loss of data
Service interruption
Unauthorized access caused by your failure to secure your account
Decisions made based on informational or AI-generated content

Where our liability cannot legally be excluded, our total liability arising from or relating to Cradle will be limited to the greater of:

USD 150, or
the amount you paid to us for Cradle during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

22. Your Responsibilities and Warranties

You represent and warrant that:

You have the legal capacity to agree to these Terms
Information you provide is accurate to the best of your knowledge
You have the right to provide child-related information entered into Cradle
Your use of Cradle complies with applicable law
You will not infringe the rights of another person
You will use Cradle in accordance with these Terms

23. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold us harmless from claims, losses, damages, liabilities, and reasonable expenses arising from:

Your unlawful use of Cradle
Your material breach of these Terms
Your infringement of another person’s rights
Content you submit without appropriate rights or authorization

This section does not apply where such indemnification would be prohibited under applicable consumer law.

24. Subscriptions, Purchases and Refunds

Cradle may offer paid subscriptions, premium features, free trials, introductory offers, or other in-app purchases.

Purchases made through the Apple App Store or Google Play Store are processed by the applicable platform.

We do not directly receive or store your complete payment-card information for purchases processed through those stores.

Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date in accordance with the rules of the platform through which the subscription was purchased.

You may manage or cancel your subscription through your Apple App Store or Google Play account settings.

Free Trials and Introductory Offers

If Cradle offers a free trial or introductory subscription, it may automatically convert into a paid subscription when the offer ends unless you cancel before the applicable deadline.

The applicable price and billing period will be displayed before you confirm your purchase.

Cancellation

If you cancel a subscription, you will generally continue to have access to premium features until the end of the period you have already paid for.

Deleting Cradle from your device does not automatically cancel your subscription.

Refunds

Refund eligibility is determined by the platform through which you made your purchase.

If you’re not satisfied, you may apply for a refund through the Apple App Store or Google Play Store.

25. Termination

You may stop using Cradle at any time.

We may suspend or terminate your access if we reasonably believe that:

You have materially violated these Terms
Your activity threatens the security of Cradle
Your use is fraudulent or unlawful
We are required to do so by law

Where appropriate, we may provide notice or an opportunity to correct the violation before termination.

Upon termination, your licence to use Cradle ends.

Certain provisions that are intended to survive termination, including intellectual-property, liability, and dispute-related provisions, will continue to apply.

26. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

27. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations as part of a merger, acquisition, restructuring, sale of assets, corporate reorganization, or similar transaction.

Where required by law, we will notify you of such a transfer.

28. Governing Law and Jurisdiction

These Terms are governed by the laws applicable in the United Arab Emirates and the Emirate of Dubai, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights that apply in your country of residence, disputes arising from or relating to these Terms or Cradle will be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.

Nothing in this section removes rights you may have under mandatory consumer-protection laws in your country.
